Terms of Service
These Terms of Service (the "Terms") govern your access to and use of the website and services provided by Edit Ventures LLC, a Wyoming limited liability company ("Edit Ventures," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.
2. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
3. Restrictions
You agree not to:
- use the Services in violation of any applicable law or regulation;
- access or attempt to access any account, system, or data that you are not authorized to access, or circumvent any security or authentication measure;
- interfere with or disrupt the integrity or performance of the Services, including by transmitting malicious code or imposing an unreasonable load on our infrastructure;
- use any automated means to access, scrape, or harvest data from the Services without our prior written consent;
- reverse engineer, decompile, or attempt to derive the source code of any portion of the Services except to the extent that restriction is prohibited by law; or
- use the Services to transmit unsolicited communications, or to infringe the rights of any third party.
4. Intellectual Property
The Services, including all text, graphics, logos, software, and other content, and all intellectual property rights in them, are owned by Edit Ventures or our licensors and are protected by United States and international intellectual property laws. Except for the limited license granted in Section 2, no rights are transferred to you. The Edit Ventures name and marks may not be used without our prior written permission.
5. Your Submissions
If you send us ideas, suggestions, feedback, or other materials relating to the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and exploit those materials for any purpose, without obligation or compensation to you. Do not send us information you consider confidential.
6. Third-Party Services
The Services may interoperate with or link to services operated by third parties. We do not control those services and are not responsible for their content, policies, or practices. Your use of a third-party service is governed by that party's terms.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, error-free, or that any defect will be corrected. Nothing on the Services constitutes legal, financial, investment, tax, or real estate advice, and no content on the Services is an offer to sell or a solicitation of an offer to buy any security or interest.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EDIT VENTURES AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Edit Ventures and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Sections 4 through 12 survive any termination.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts. Any claim must be brought within one year after it arises, or it is permanently barred.
12. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Edit Ventures regarding the Services and supersede all prior understandings. If any provision is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them freely. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between us.
13. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will revise the effective date above. Your continued use of the Services after the revised Terms take effect constitutes acceptance of them.
